Studio Day Agreement

This agreement is between SHAWN CONNERS LLC, doing business as studio conners ("Studio Conners"), and the person or business booking the Studio Day ("you").
A. The Studio Day
You are booking one focused Studio Day for the date and Problem shown on your invitation. For that day, Studio Conners gives the work its full attention. The work is remote. You do not need to spend the day with us, but you agree to stay reasonably reachable by phone, text, or email for questions, files, decisions, access, or quick course corrections.
B. Price and booking
The Studio Day price is $500. Payment is due in full through the checkout. Choosing a date or accepting these terms does not itself reserve the day. The Studio Day is booked only after payment is successfully confirmed by Studio Conners' server. No same-day Studio Days are sold.
C. What you are buying
You are buying one focused day of professional creative and technical problem-solving around the Problem shown on the invitation, not a guaranteed list or quantity of deliverables. Studio Conners decides how to use the day in good faith and professional judgment to make the most useful progress possible. A Studio Day does not create an ongoing retainer, maintenance obligation, support plan, or promise of future work unless separately agreed in writing.
D. What we need from you
You agree to provide reasonably accurate information, materials, decisions, and access needed for the work, and you confirm that you have the right to share anything you give us. If something we need is unavailable or you cannot be reached, Studio Conners may use reasonable judgment to keep moving. Missing information or delayed responses do not automatically extend the Studio Day.
E. Access and security
Do not put passwords in the Studio Day workspace. Where possible, send access invitations to team@studioconners.com or coordinate access another safe way. Do not send highly sensitive, regulated, or secret personal information without discussing it with us first.
F. Third-party services and costs
Some work may depend on third-party services such as hosting, domains, software, licensed assets, advertising, printing, or other providers. Unless the invitation or a later written confirmation says otherwise, those third-party costs are not included in the $500 Studio Day. Studio Conners will not intentionally commit you to a paid third-party purchase without your approval. Third-party products and services remain subject to their own terms.
G. Software, cloud, and AI tools
Studio Conners may use ordinary professional software, cloud services, automation, and AI-assisted tools as part of doing the work. We use them as working tools, not as a substitute for our responsibility for the Studio Day. Information you provide may be processed through tools reasonably needed to perform the work, subject to our Privacy page and the providers' applicable terms.
H. Deliverables and ownership
After the Studio Day, you receive the final work we choose to hand off plus a Studio Day Debrief. Upon handoff, and because the Studio Day has been paid in full, Studio Conners assigns to you its rights in final custom deliverables created specifically for you, except for Studio Conners' pre-existing tools, templates, methods, reusable code, systems, and general know-how, and except for third-party materials. You receive the rights reasonably necessary to use any such embedded Studio Conners material as part of the delivered work. Third-party materials remain subject to their own licenses or terms.
I. Rescheduling and cancellation
Because a paid Studio Day reserves a full working day, the payment is generally nonrefundable once booked. Before the Studio Day begins, you may request one move to another available Studio Day at no additional Studio Day charge; the change is not effective until Studio Conners confirms the new date in writing. If Studio Conners cannot perform the booked Studio Day, you may choose a new available date or a full refund. Studio Conners may always choose to make an exception or issue a refund at its discretion.
J. Results, warranties, and liability
Studio Conners promises to devote the Studio Day to the agreed Problem and use reasonable professional care, but creative and technical work is uncertain. We do not guarantee a particular commercial result, a particular number of outputs, or that third-party systems will behave as expected. To the extent permitted by applicable law, Studio Conners' total liability arising from a Studio Day will not exceed the amount paid for that Studio Day. This does not limit liability that cannot legally be limited.
K. The agreement
The invitation (including the Problem and booked date), this Studio Day Agreement version, and any later written changes confirmed by both sides form the agreement for the Studio Day. Iowa law governs. If we agree to change something material, confirm it in writing.
